Terms of Service

These Terms of Service ("Terms") govern your access to and use of Komercia and any related software products and websites (collectively, the "Service") operated by Gustavo Moreno ("we", "us", or "our"). By creating an account or using the Service, you agree to be bound by these Terms.

1. The Service

Komercia is a software-as-a-service platform that provides technology for creating and managing online stores and related commerce tools. We may operate additional software products under the same account and ownership, and these Terms apply to each of them unless a specific product publishes its own terms.

We are a technology provider. We do not act as an intermediary, payment facilitator, or escrow agent for transactions that occur between merchants and their own customers. Any sales a merchant makes to their buyers are processed through third-party payment gateways selected by the merchant and are subject to those providers' terms.

2. Eligibility and Accounts

You must be at least 18 years old and able to form a binding contract to use the Service. You are responsible for the accuracy of the information you provide, for maintaining the confidentiality of your account credentials, and for all activity that occurs under your account. Notify us immediately of any unauthorized use.

3. Subscriptions and Billing

The Service is offered on a subscription basis. Plans, features, and prices are described on our pricing page. Prices are stated in United States Dollars (USD) unless otherwise indicated at checkout. We may change our prices and plans, and we will give reasonable notice of any change that affects an active subscription before it takes effect.

3.1 Automatic renewal.

Subscriptions renew automatically at the end of each billing period (monthly or annual, depending on the plan you select) at the then-current price, unless you cancel before the renewal date. By subscribing, you authorize recurring charges to your selected payment method until you cancel.

3.2 Free trial.

We may offer a free trial period during which you can use the Service without charge and without entering payment details. At the end of the trial, your account remains available but features that require a paid plan are suspended until you choose and pay for a plan. We do not delete your configuration when a trial ends.

3.3 Cancellation.

You may cancel your subscription at any time from your account or by contacting us. Cancellation stops future renewals. We do not require any minimum commitment or permanence period.

4. Payments and Merchant of Record

Our order process and payments for subscriptions are conducted by our online reseller, Paddle.com Market Ltd ("Paddle"), which acts as the Merchant of Record for these purchases. Paddle handles customer service inquiries related to payments, manages billing, and is responsible for collecting and remitting applicable taxes. When you purchase a subscription, your contract for the purchase and payment is with Paddle, and Paddle's Buyer Terms and Privacy Policy also apply to that transaction.

5. Acceptable Use

You agree not to use the Service to:

• Violate any applicable law or regulation, or infringe the rights of others.
• Sell, distribute, or promote prohibited, illegal, fraudulent, or counterfeit goods or services.
• Upload malware, attempt to gain unauthorized access, or interfere with the integrity or performance of the Service.
• Use the Service in a way that violates the acceptable use policy of Paddle or of any payment provider involved in a transaction.

We may suspend or terminate accounts that breach this section.

6. Intellectual Property

The Service, including its software, design, and content we provide, is owned by us or our licensors and is protected by intellectual property laws. You retain ownership of the content you upload. You grant us a limited license to host, store, and display your content solely to operate and improve the Service.

7. Disclaimers and Limitation of Liability

The Service is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied, to the maximum extent permitted by law. We do not warrant that the Service will be uninterrupted or error-free.

To the maximum extent permitted by law, our total liability arising out of or related to the Service will not exceed the amount you paid to us for the Service during the twelve months preceding the event giving rise to the claim. We are not liable for indirect, incidental, special, or consequential damages.

8. Termination

You may stop using the Service at any time. We may suspend or terminate your access if you breach these Terms or if required by law. Upon termination, your right to use the Service ends, and sections that by their nature should survive will survive.

9. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will update the date at the top of this page and, where appropriate, provide additional notice. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

10. Governing Law

These Terms are governed by the laws applicable at the place of the operator's residence, without regard to conflict-of-law principles. Nothing in these Terms limits any mandatory consumer protection rights you may have under the laws of your country of residence.
